These Terms & Conditions govern your use of the Shopify Design Labs website and your engagement with our Shopify design, development, marketing, optimization, consultation, and support services. A project proposal, statement of work, or signed agreement may include additional terms that take priority for that project.
1. Our services
We provide services such as Shopify store strategy, UX/UI design, theme customization, custom development, app and API integrations, migration, SEO, marketing setup, conversion optimization, product support, and maintenance. The exact deliverables, timeline, fees, revision rounds, and responsibilities are defined in the applicable proposal or statement of work.
2. Enquiries and proposals
Submitting a form or requesting a consultation does not create a client relationship or guarantee availability. Proposals are based on the information available at the time and may change if requirements, integrations, products, content, or technical constraints change. A project begins only after scope approval and any required deposit or agreement.
3. Client responsibilities
- Provide accurate information, timely feedback, content, product data, brand assets, and access needed for the project.
- Maintain valid Shopify, domain, app, payment, hosting, and third-party accounts.
- Confirm that all content, images, software, customer data, and instructions supplied to us may legally be used.
- Review and approve deliverables promptly so the agreed schedule can be maintained.
4. Scope, revisions, and changes
Work outside the agreed scope, additional revision rounds, new integrations, new pages, content creation, or changes after approval may require a revised estimate and timeline. We will communicate material changes before carrying out additional work where reasonably possible.
5. Timelines and launch
Estimated timelines depend on timely client feedback, access, content, third-party providers, and technical approvals. We are not responsible for delays caused by incomplete materials, client decisions, Shopify platform changes, app providers, payment providers, domain providers, or events outside our reasonable control.
6. Fees and payment
Fees, deposits, payment milestones, taxes, and accepted payment methods are stated in the proposal or invoice. Work may be paused if an invoice is overdue. Deposits are generally applied to reserved project time and completed planning or production work and may be non-refundable as specified in the project agreement.
7. Approvals and intellectual property
After full payment, the client receives the rights described in the applicable agreement for the final custom deliverables created specifically for the client. Pre-existing tools, frameworks, code libraries, templates, methods, fonts, stock assets, third-party apps, and open-source components remain subject to their respective licenses. We may display completed work in our portfolio unless the agreement says otherwise.
8. Third-party platforms
Shopify, app developers, payment processors, email providers, hosting providers, analytics platforms, and other third parties operate independently. We can configure or integrate these services, but we do not control their availability, policies, pricing, security, data processing, or future changes. The client is responsible for reviewing and accepting their terms.
9. Acceptable use and confidentiality
You must not use our website or services for unlawful, fraudulent, infringing, abusive, or harmful activity. Each party should protect confidential business, technical, customer, and commercial information received from the other. Confidentiality obligations do not apply to information that is public, independently developed, or required to be disclosed by law.
10. Warranty and liability
We will perform services with reasonable care and skill. Unless expressly stated in a signed agreement, services and website content are provided on an “as available” basis. To the fullest extent allowed by law, Shopify Design Labs is not liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from third-party platforms, business decisions, downtime, data loss, or use of deliverables. Any project-specific liability limits are governed by the applicable agreement.
11. Ending a project
Either party may request an end to a project according to the applicable proposal or agreement. The client remains responsible for approved work, completed work, committed third-party costs, and non-cancellable project expenses up to the effective end date. We may suspend or end services for non-payment, unlawful use, abusive conduct, or a material breach.
12. Updates and contact
We may update these terms as our services change. Continued use of the website after an update means the revised terms apply to future website use. Questions about these terms can be sent through our contact page.
